Terms of Service

Acorevia AI provides managed AI model-building services, including discovery, material intake, AI model development, testing, and delivery. All services are performed by or under the oversight of Elonzya Company Limited.

The scope of services for each client is defined in a separate Project Agreement or Scope of Work document agreed upon during onboarding. These Terms govern all engagements unless otherwise specified in writing.

By engaging Acorevia AI, you agree to:

• Provide accurate and complete information in your application and throughout the engagement.
• Submit only materials you own, have licensed, or have legal permission to use.
• Review and test your AI assistant during the private testing phase and provide timely feedback.
• Grant final approval before public launch.
• Pay agreed fees according to the payment schedule in your Project Agreement.

You retain ownership of all materials you submit to Acorevia AI. By submitting materials, you grant Acorevia AI a limited, non-exclusive licence to use those materials solely for the purpose of building your AI model.

The completed AI model is delivered to you upon final payment. Acorevia AI retains no ongoing rights to your content or your AI model after delivery, except as needed to provide agreed post-launch support.

Acorevia AI retains ownership of its proprietary processes, methodologies, frameworks, and tooling used to build AI models.

Fees are agreed during scoping and detailed in your Project Agreement. All fees are quoted in the currency specified in your agreement.

A deposit is required before work begins. Remaining payments are due at agreed milestones. Final payment is due before public launch.

Acorevia AI reserves the right to pause or withhold delivery if payments are not made according to the agreed schedule.

All fees are non-refundable once the associated work phase has been completed, except in cases where Acorevia AI fails to deliver agreed deliverables.

All AI models built by Acorevia AI must comply with our AI Safety Standards, including mandatory AI identity disclosure. The AI model must identify itself as an AI trained on approved materials and must not claim to be the real person.

Clients may not modify, deploy, or use the delivered AI model in ways that violate these safety standards or applicable laws.

Acorevia AI treats all submitted materials as confidential and uses them exclusively for the agreed purpose. Our team members are bound by confidentiality obligations.

You agree to keep the terms of your Project Agreement confidential unless disclosure is required by law.

Acorevia AI warrants that services will be performed with reasonable skill and care. We do not guarantee that any AI model will achieve specific business outcomes, user engagement levels, or performance metrics.

AI assistants are delivered as-is based on the materials provided. The accuracy and quality of responses is directly dependent on the quality and completeness of your submitted materials.

To the maximum extent permitted by applicable law, Acorevia AI's liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you in the three months preceding the claim.

Acorevia AI is not liable for indirect, consequential, incidental, or punitive damages arising from the use or inability to use the AI model.

Either party may terminate the engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.

Upon termination, all outstanding fees for work completed become immediately due. Acorevia AI will return your submitted materials upon request.

These Terms are governed by the laws of the jurisdiction in which Elonzya Company Limited is registered. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

Acorevia AI reserves the right to update these Terms at any time. Clients will be notified of material changes. Continued use of our services after notification constitutes acceptance of the updated Terms.
